Over 1,500 real estate franchising agencies; 200 financial consulting firms offering mortgages and financial services for over 1 billion Euro on December 31st 2007. These are just a few figures on Tree Real Estate and Tree Finance, two new companies established as a result of the integration of the real estate and brokerage franchise networks Gabetti Property Solutions S.p.A. and UBH – United Business Holding S.p.A., on the basis of the agreement signed on November 13th by the company Board of Directors, today a concrete reality. With UBH buying up a share of Gabetti Property Solutions, the main company shareholders are: Acosta S.r.l. (the Giordano family) 28.184%, Marcegaglia S.p.A. 16.431%, Giovanni Gabetti 9.783%, Elio Gabetti 6.89%, Assicurazioni Generali S.p.A. (directly and indirectly) 7.979%, Sipi Investimenti S.p.A. 7.260%, UBH S.p.A. 5%, MR Capital S.r.l. 3.048%, Gian Luigi Croce 2.331%, floating 12.977%. Tree Real Estate and Tree Finance will benefit from major scale economies, developing effective cross-selling policies to expand into strategic business areas. Tree Real Estate S.r.l., with the shareholders UBH S.p.A. and the Gambetti Agency S.p.A., is the parent company of the franchising firms Professionecasa S.p.A., Grimaldi Franchising S.p.A. and Gabetti Franchising Agency S.r.l. Tree Finance S.r.l. is the parent company for the brokers Rexfin Franchising Finanziario S.p.A., Gabetti Property Solutions Finance S.r.l., Mutuistar S.r.l. and Mutuitime S.r.l., and also holds an 80% participation in Assirex, a Company promoting insurance products and services developing the considerable commercial potential of the estate agent and brokerage networks. Finally, Tree Finance holds also a 49% share in the Company Innovazione e Finanza S.p.A. offering brokerage services for small and medium-sized enterprises with leasing and corporate finance products.

PROFESSIONECASA HOLDING SPA
Professionecasa Prestige International is a subsidiary of Professionecasa Holding S.p.A., which in turn is part of the UBH Holding S.p.A. Group. The corporate structure of the UBH Group is shown in the figure below, and the Banca Popolare, the third biggest banking group in Italy, holds a 15% share in UBH Holding S.p.A. amounting to 111 billion euro. Other controlled companies include: Magic Servizi specializing in real estate marketing, merchandising and multimedia publishing for the Group with over 20 million copies of editorial products distributed every year, CFD (51%), offering training and refresher courses for the personnel of the company and franchisees, UBH RE Fund (90%) financing the holding. Furthermore, with Banca Aletti and the Mauro Saviola Group, a leader in the real estate market with proceeds amounting to 700 million euro, UBH controls 40% of Abitando, a new company specialised in low-cost furnishing. Finally, with the Saviola Group, UBH controls Artiade, a company specialized in securitizing real estate subject to contentious procedure, assigned by banks and other operators in the banking sector.
